Section I Part A (1): The Recipient shall, not later than two (2) months after the Effective Date, have in place at the PIU, anenvironmental and social safeguards officer responsible for overseeing the preparation, and implementation, of SafeguardsInstruments and a procurement officer, all with terms of reference acceptable to the Association.
Section I Part B (1): the Recipient shall: (a) adopt, not later than one (1) month after the Effective Date, a ProjectImplementation Manual, which shall have been prepared in accordance with terms of reference satisfactory to the Bank, and approvedby the Association, (b) carry out the Project in accordance with the PIM that has been pproved by the Association and adopted bythe Recipient; and (c) not amend, abrogate or waive said PIM or any part thereof without the prior written approval of theAssociation.
Section I Part E(1): Within three (3) months from the Effective Date, the Recipient shall: (a) prepare, in accordance with termsof reference acceptable to the Bank, ESMF and IPMP; and (b) adopt such ESMF and IPMP as shall ave been approved by the Associationand publish the ESMF and IPMP in a manner acceptable to the Association.
Section IV Part B (1): No withdrawal shall be made for payments made prior to the date of countersignature of the FinancingAgreement by the Recipient, except that withdrawals up to an amount not to exceed SDR 14,750,000 may be made for payments madeprior to this date but on or after April 17, 2017, for Eligible Expenditures under Categories 1 and 2.

For ICRC: Schedule 2. Section I.B.3.: The Recipient shall carry out Part 1.2 of the Project in health facilities already selectedin agreement with the Association, and the Recipient shall obtain the Association's prior written consent before implementing Part1.2 of the Project in additional health facilities.

Section I.D.3.: The Recipient shall ensure that their Respective Part of the Project is carried out with inaccordance with the Environmental and Social Management Framework and the Social Assessment, which shall be updated by theRecipient in the event the Recipient proposes to the Association any change in selected facilities.
For ICRC: Schedule 2. Section I.D.5.: The Recipient shall inform the Association of a Significant Event as soon as reasonablypracticable, but no later than seven (7) calendar days, after the occurrence of the event.
For UNICEF: Schedule 2. Section I.A.4.: The Recipient shall carry out its Part 1.1 of the Project in the former states of UpperNile and Jonglei, and in the event that any activity is proposed to be implemented in areas beyond the said former states, theRecipient shall obtain the Association's prior written consent before commencement of implementation in said areas.
For UNICEF: Schedule 2. Section I.C.3.: The Recipient shall ensure that their Respective Part of the Project is carried out with inaccordance with the Environmental and Social Management Framework and the Social Assessment, which shall be updated by theRecipient in the event the Recipient proposes to the Association any change in selected facilities.

Schedule 2 Section I.A.1 of the Financing Agreement: Within ninety (90) days from the Effective Date, the Recipient shall establishwithin MAFS, and thereafter maintain at all times during the implementation of the Project, a Project Coordination Unit (“PCU”)within MAFS, with the composition, functions, staffing and resources satisfactory to the Association, and responsible for day-today oversight and management of the Project and for coordination of implementation of Project activities.
Schedule 2 Section I.A.2 of the Financing Agreement: Within sixty (60) days from the Effective Date, the Recipient shall establishand thereafter maintain at all times during the implementation of the Project, a Project Steering Committee (“PSC”), with thecomposition, functions, staffing and resources satisfactory to the Association, and responsible for providing high-level oversightand guidance on implementation of the Project
Schedule 2 Section I.B.3 of the Financing Agreement: Within one hundred eighty (180) days from the Effective Date, the Recipientshall hire a Third-Party Monitoring Agent, in accordance with terms of reference satisfactory to the Association, to monitor andreview performance of the Project
Schedule 2 Section I.B.4 of the Financing Agreement: The Recipient shall no later than ninety (90) days from the Effective Dateestablish and thereafter maintain at all times during the implementation of the Project, a grievance redress mechanism, under termsand structure satisfactory to the Association.

Schedule 2 Section I.A.1: Within sixty (60) days from the Effective Date, the Recipient shall establish, and thereafter maintain atall times during the implementation of the Project, a Project Management Unit (“PMU”) at the national level, with functions,staffing and resources satisfactory to the Association, and responsible for overall implementation of the Project and forcoordination of implementation of Project activities.
Schedule 2 Section I.B.1: The Recipient shall furnish the draft PIM to the Association for review and approval and thereafter,implement Project in accordance with the PIM approved by the Association and except as the Association shall otherwise agree inwriting, the Recipient shall not amend, abrogate, or waive or fail to enforce any provision of the said PIM.
Schedule 2 Section I.B.3: Within three (3) months from the Effective Date, the Recipient shall hire a Third-Party Monitoring Agent,in accordance with terms of reference acceptable to the Association, including quarterly reporting by said agent.
Schedule 2 Section I.B.4: The Recipient shall no later than three (3) months from the Effective Date, or establish and thereaftercarry out the Project, a grievance redress mechanism, and a management information system, under terms and structure satisfactoryto the Association.
Schedule 2 Section I.B.5: The Recipient shall:(a) implement activities under Part 1 of the Project in accordance with criteriaand procedures set out in the PIM, including selection of Counties, Payams and Bomas for participation in the Project, selection ofSubprojects to be implemented in selected Counties and ensure that Subprojects do not include activities in the negative list setout in the PIM; (b) prior to implementation of any Project activities in any County selected in accordance with the PIM, sign aMemorandum of Understanding with the Ministry of Finance and Planning and the Local Government Board, setting out the overall scopeof the Project activities and responsibilities of Recipient, IOM and the Government of South Sudan;(c) prior to implementation ofany Project activities in each County selected in accordance with the PIM, enter into a Memorandum of Understanding, with IOM andsaid County setting out the commitment of the County government to participate in and support the Project, the role of the Countygovernment, and the coordination mechanism between the County government, UNOPS and IOM; (d) prior to commencing any civil worksunder a Subproject selected in accordance with the PIM, enter into an agreement and/or or cause IOM to enter into an agreement,with the County government and the PDC concerned, setting out the agreed list of priority infrastructure selected by thecommunities (“Payam Priority List”) within the relevant Payam to be included the Subproject; and (e) ensure that upon thecompletion of civil works under each Subproject, enter into, and/or cause IOM to enter into, an agreement with the County and thePDC concerned, setting out the County government's official ownership of the Subproject assets and the division of responsibilitiesfor the operation and maintenance of said Subproject assets between the County and the PDC concerned (“Handover Agreement”).
Schedule 2 Section I.B.6: The Recipient shall enter into contractual arrangements with IOM in accordance with the Procurement Plan(“UNOPS-IOM Agreement”) and the Recipient shall exercise its rights under the UNOPS-IOM Agreement in such manner as to protect theinterests of the Recipient and the Association and to accomplish the purposes of the Financing.
Schedule 2 Section II.A.1: The Recipient shall furnish to the Association each Project Report (i.e., a progress Project Reportproviding for a summary of activities covering a period of three (3) calendar months, and a detailed annual Project Report), notlater than forty-five (45) days after the end of the period covered by such report.
Schedule 2 Section II.A.2: The Recipient shall furnish to the Association not later than five (5) days from receipt by Recipientof each quarterly report from the Third-Party Monitoring Agent, prepared in accordance with terms of reference acceptable to theAssociation, including that such report shall contain a summary of findings regarding adherence, at all implementation levels, tothe procedures set out in relevant Project documents, and verification of all Project activities.
Schedule 2 Section II.B.3: The Recipient shall prepare and furnish to the Association, interim unaudited financial reports relatedto the Project (to reflect the Project operations, resources and expenditures), in accordance with accounting standards establishedpursuant to the Financial Regulations and in the format agreed with the Association. The first said interim unaudited financialreport for the Project shall cover the period from the incurrence of the first expenditure under the Financing through the end ofthe first three-month period following the Effectiveness Date. Thereafter, each interim unaudited financial report shall befurnished to the Association not later than forty-five (45) days after each subsequent quarterly period and shall cover suchquarterly period.
Schedule 2 Section II.B.4: The Recipient shall have the financial statements of the Project audited in accordance with (i) Article6 of the Financial Regulations and (ii) the Financial Management Framework Agreement. Each audit of the financial statements shallcover the period of one fiscal year of the Recipient, commencing with the fiscal year in which the first withdrawal of Financingwas made. The audited financial statement for each such period shall be furnished to the Bank not later than six (6) months afterthe end of such period.

UNICEF FA. Schedule 2, Section I.A.7. Within fifteen (15) days after the Effective Date, the Recipient shall prepare and furnishto the Association a Work Plan and Budget covering activities to be implemented under its Respective Parts of the Project and aproposed financing plan for expenditures required for such activities, setting forth the proposed amounts, sources of financing andeligible costs.
UNICEF FA. Schedule 2, Section I.D.1. Within seventy (70) days from the Effective Date, the Recipient shall hire and maintainthroughout Project implementation, Third-Party Monitoring Agent(s), on the terms of reference satisfactory to the Association, tobe financed out of the proceeds of the Financing as set forth in the table under Section IV.A. of Schedule 2 to this Agreement, tomonitor implementation of activities under Parts 1 and 2.1 of the Project.

Schedule 2, Section I.A.1. Schedule 2, Section I.A.3. The Recipient shall, not later than sixty (60) days after the Effective Date, establish and thereaftermaintain, at all times during the implementation of the Project, a National Technical Working Group, with a composition, mandate,terms of reference and resources satisfactory to the Association, to be responsible for, inter alia, providing quality assurance ontechnical aspects of the Project and reviewing the Project's proposed annual work plan and budget and ensuring its consistency withthis Agreement, all in accordance with the provisions of the Project Operations Manual.

The Recipient shall, not later than the Effective Date, prepare and thereafter carry out the Project inaccordance with the provisions of a Project Operations Manual containing detailed guidelines, arrangements and procedures for theimplementation of the Project, including with respect to: (a) roles and responsibilities of the PMU for Project implementation; (b)budgeting, disbursement, financial management and accounting procedures; (c) procurement procedures; (d) environmental and socialstandards instruments and related guidelines; (e) monitoring, evaluation, reporting and communication; (f) corruption and fraudmitigation measures; (g) a grievance redress mechanism including provisions on sexual exploitation and abuse and sexual harassment;(h) personal data collection and processing in accordance with good international practices; and (f) such other administrative,financial, technical, and organizational arrangements and procedures as shall be required for the effective implementation of theProject, all in form and substance satisfactory to the Association.
Schedule 2, Section I.B.2. The Recipient shall furnish to the Association, not later than May 31 of each year, the annual workplans and budgets approved by the National Steering Committee for the Association's review and approval; except for the annual workplan and budget for the Project for the first year of Project implementation, which shall be furnished no later than three (3)months after the Effective Date. Only the activities included in an annual work plan and budget expressly approved by theAssociation (each an “Annual Work Plan and Budget”) are eligible to be financed from the proceeds of the Financing.

Schedule 2 Section I.A.2 of the Financing Agreement: No later than ninety (90) days after the Effective Date, the Recipient shallestablish and thereafter maintain during the implementation of the Project, a Project Management Unit (PMU) within the MoFP and inpartnership with the LGB, with the composition, functions, staffing and resources satisfactory to the Association.
Schedule 2 Section I.A.3 (a) of the Financing Agreement: By no later than ninety (90) days after the Effective Date, the Recipientshall establish and thereafter maintain during the implementation of the Project a National Steering Committee (NSC), with thecomposition, functions, staffing and resources satisfactory to the Association, and responsible for providing oversight and policyguidance to the Project.
Schedule 2 Section I.A.3 (b) of the Financing Agreement: By no later than ninety (90) days after the Effective Date, the Recipientshall establish and thereafter maintain during the implementation of the Project a National Technical Working Group (NTWG), withthecomposition, functions, staffing and resources satisfactory to the Association, and responsible for discussing technicalimplementation-related issues of the Project at the national level.
Schedule 2 Section I.B of the Financing Agreement: The Recipient, through the MoFP, shall enter into, by no later than sixty (60)days after the Effective Date, and thereafter maintain throughout the period of Project implementation, an output agreement withIOM, under terms and conditions approved by the Association.
Schedule 2 Section I.C.(a) of the Financing Agreement: By no later than sixty (60) days after the Effective Date, prepare, inaccordance with terms of reference acceptable to the Association, a manual, which contains Project arrangements and procedures for:(i) institutional coordination and day-to-day implementation of the Project; (ii) monitoring, evaluation, reporting andcommunication; (iii) criteria, procedures and responsibilities for Sub-project selection; (iv) allocation of functions to, andresponsibilities of, IOM; (v) administration, procurement, financial management and accounting; (vi) mechanisms for accommodatingchanges in project implementation due to COVID-19; and (vii) such other administrative, technical and organizational arrangementsand procedures as shall be required for purposes of implementation of the Project.
Schedule 2 Section I.E of the Financing Agreement: Within one hundred eighty (180) days from the Effective Date, the Recipientshall hire, and thereafter maintain at all times during implementation of the Project, a Third-Party Monitoring Agent in accordancewith terms of reference satisfactory to the Association, to monitor and review performance of the Project.
Schedule 2 Section I of the Financing Agreement: The Recipient shall no later than sixty (60) days from the Effective Dateestablish and thereafter maintain at all times during the implementation of the Project, a grievance redress mechanism, under termsand structure satisfactory to the Association.
Schedule 2 Section II.2 of the Financing Agreement: The Recipient shall ensure that each Third-Party Monitoring Report from theThird-Party Monitoring Agent, prepared in accordance with terms of reference acceptable to the Association is furnished to theAssociation within forty-five (45) days of the end of the period covered by said report.
