Schedule II, Section I, A.4.c: The Project Coordinating Unit ahall, not later three (3) months after the Effective Date, recruitand thereafter retain the following staff: (i) a project management expert; (ii) a monitoring and evaluation expert; (iii) anenvironmental and social safeguards specialist; and (iv) a communications specialist.
Schedule II, Section I, D.2: The Recipient shall furnish to the Association, not later than November 30 of each year, the annualwork plans and budgets for the Association's review and approval; except for the annual work plan and budget for the Project forthe first year of Project implementation, which shall be furnished no later than one (1) month after the Effective Date. Only theactivities included in an annual work plan and budget expressly approved by the Association (each an “Annual Work Plan and Budget”)are eligible to a financing from the proceeds of the Financing.

The Recipient shall, within one (1) months of the date of effectiveness, establish, and at all times during Project implementationmaintain, the National Project Steering Committee (“NPSC”) with composition and mandate acceptable to the Association in accordancewith the provisions of Section I A. 2. of Schedule 2 to the Financing Agreement.
The Recipient shall, not later than six (6) months after the Effective Date cause the Fiduciary Agent to recruit and thereafterretain an external auditor with qualifications and experience satisfactory to the Association in accordance with the provisions ofSection I J. 1. of Schedule 2 to the Financing Agreement.
The Recipient shall, not later than two (2) months after the Effective Date, cause the Fiduciary Agent to recruit and thereafterretain a senior accountant and an internal auditor each with qualifications and experience satisfactory to the Association inaccordance with the provisions of Section I J. 2. of Schedule 2 to the Financing Agreement.
The Recipient shall, not later than two (2) months after the Effective Date, cause the Fiduciary Agent to customize its existingaccounting software to comply with the SYSCOHADA accounting system in accordance with the provisions of Section I J. 3. of Schedule2 to the Financing Agreement.
The Recipient shall ensure that employees, agents, service providers, contractors and subcontractors carry out the Project inconformity with acceptable environmental and social standards, practices and codes of conduct (which shall, inter alia, containmeasures that prohibit, endeavour to prevent and address Project-related gender-based violence and sexual exploitation and abuse),the provisions of the Recipient's environmental and social laws, in accordance with the provisions of Section I D. 9. (a) ofSchedule 2 to the Financing Agreement.
The Recipient shall, throughout Project implementation, cause the NTPCU to maintain and publicize the availability of aProject-level grievance redress mechanism and a feedback mechanism, in form and substance satisfactory to the Association, in orderto hear and determine fairly and in good faith all complaints and feedback raised in relation to the Project, and take all measuresnecessary to implement the determinations made by said grievance feedback and redress mechanism in a manner satisfactory to theAssociation, in accordance with the provisions of Section I D. 9. (b) of Schedule 2 to the Financing Agreement.
The Recipient shall furnish to the Association, not later than November 30 of each year, the annual work plans and budgets approvedby the Steering Committee for the Association's review and approval; except for the annual work plan and budget for the Project forthe first year of Project implementation, which shall be furnished no later than one (1) month after the Effective Date. Only theactivities included in an annual work plan and budget expressly approved by the Association (each an “Annual Work Plan and Budget”)are eligible to be financed from the proceeds of the Financing, in accordance with the provisions of Section I C. 2. of Schedule 2to the Financing Agreement.

The Recipient shall, not later than six (6) months after the Effective Date, cause the PBF TU to customize its existing accountingsoftware to ensure that its accounting software has been updated to comply with the SYSCOHADA accounting system, which shall beapplied to the Project.
Not later than six (6) months after the Effective Date, the Recipient shall appoint an external auditor with terms of reference,qualifications and experience satisfactory to the Association.
The Recipient shall, not later than six (6) months after the Effective Date, cause the PBF TU to recruit, and thereafter retain, aninternal auditor with qualification and experience satisfactory to the Association.
The Recipient shall, not later than six (6) months after the Effective Date, cause the PBF TU to recruit, and thereafter retain, anaccountant and a procurement specialist with qualification and experience satisfactory to the Association.
Counterpart Funding (i):The Recipient shall, not later than one (1) month after the Effective Date, open and maintain until thecompletion of the Project, a separate account for the exclusive purpose of financing activities under the Project (“CounterpartFunding”), to deposit amounts of up to one million United States Dollars (US$1,000,000) in the aggregate.
Counterpart Funding (ii):The Recipient shall, not later than six (6) months after the Effective Date, commit to deposit the sum of(three hundred thousand) United States Dollars (US$300,000) in Project Account.
Counterpart Funding (iii):The Recipient shall, no later than June 30, 2020 (or June 30 of the second year of Projectimplementation, if after the year 2020), deposit the sum of (four hundred thousand) United States Dollars (US$400,000) in ProjectAccount.
Counterpart Funding (iv):The Recipient shall, no later than June 30, 2021 (or June 30 of the third year of Project implementation,if after the year 2021), deposit the sum of (three hundred thousand) United States Dollars (US$300,000) in Project Account.
The Recipient shall at all times during Project implementation maintain, the National Health Steering Committee (“NHSC”) withcomposition and mandate acceptable to the Association.
The Recipient shall establish, and at all times during Project implementation, maintain the PBF Technical Unit (“PBF TU”) withinthe MOH.
The PBF TU shall, at all times during Project implementation, retain the following staff, inter alia, each with terms of reference,qualifications and experience satisfactory to the Association: (i) a coordinator; (ii) a procurement specialist; (iii) a financialmanagement specialist; (iv) a monitoring and evaluation specialist; and (v) a social and environmental specialist.
The Recipient shall, not later than three (3) months after the Effective Date, cause the PBF TU to recruit, and throughout Projectimplementation, retain Independent Verification Agencies, with qualifications, experience, and terms of reference satisfactory tothe Association, for purposes of carrying out independent verification of the services to be financed by the PBF Payments underPart 1.1 of the Project.
The Recipient shall ensure that all terms of reference for any technical assistance or studies carried out under the Project areconsistent with the Bank's social and environmental safeguard policy requirements, as well as the Recipient's own environmental andsocial laws and regulations.
The Recipient shall ensure that all technical assistance under the Project, shall only be undertaken pursuant to terms of referencereviewed and found satisfactory by the Association, such terms of reference to ensure that the technical assistance takes intoaccount, and calls for application of the Association's environmental and social safeguards policies and the Recipient's own lawsrelating to the environment and social aspects.
The Recipient shall ensure that employees, agents, service providers, contractors and subcontractors carry out the Project inconformity with acceptable environmental and social standards, practices and codes of conduct (which shall, inter alia, containmeasures that prohibit, endeavor to prevent and address Project-related gender based violence and sexual exploitation and abuse),the provisions of the Recipient's environmental and social laws.
The Recipient shall ensure that relevant environmental and social mitigation measures and clauses are included in the tenderdocuments in accordance with the Safeguards Instruments.
The Recipient shall, throughout Project implementation, cause the PBF TU, to maintain and publicize the availability of aProject-level grievance redress mechanism and a feedback mechanism, in form and substance satisfactory to the Association, in orderto hear and determine fairly and in good faith all complaints and feedback raised in relation to the Project, and take all measuresnecessary to implement the determinations made by said grievance feedback and redress mechanism in a manner satisfactory to theAssociation.
The Recipient shall furnish to the Association, not later than November 30 of each year, the annual work plans and budgets approvedby the Steering Committee for the Association's review and approval; except for the annual work plan and budget for the Project forthe first year of Project implementation, which shall be furnished no later than one (1) month after the Effective Date.

Schedule 2, Section I.A.2.a.The Recipient shall, not later than one (1) month after the Effective Date, conclude, and throughoutProject implementation adopt an inter-ministerial decree between MDEWR and MTCA for the purposes of ensuring adequate coordinationbetween the relevant ministries relative to the PIU.
Schedule 2, Section I.A.2.b. The Recipient shall, not later than one (1) month after the Effective Date, conclude, and throughoutProject implementation maintain a Memorandum of Understanding between the PIU, SODECA and ENERCA for the purposes of ensuringtechnical support for the Project from the two utilities and to define their roles and responsibilities relative to the PIU.
Schedule 2, Section I.A.3.a. The Recipient shall, within one (1) month of the Effective Date, establish, and at all times duringProject implementation maintain, the Steering Committee (“SC”) with composition and mandate acceptable to the Association.
Schedule 2, Section I.A.4.d. The PIU shall, no later than two (2) months after the Effective Date, recruit and thereafter retain afinancial management specialist with terms of reference, qualifications, and experience satisfactory to the Association.
Schedule 2, Section I.A.4.e. The PIU shall, no later than two (2) months after the Effective Date, have customized accountingsoftware installed.
Schedule 2, Section I.C.2. The Recipient shall, no later than one (1) month after the Effective Date, furnish the annual work planand budget for the Project for the first year of implementation.
Schedule 2, Section I.D.3.a. The Recipient shall ensure that for each activity under the Project of a type for which the ESAPprovides that an ESMP or ESIA must be prepared that such ESMP or ESIA shall, within six (6) months of the Effective Date, beprepared, in form and substance satisfactory to the Association.
Schedule 2, Section I.D.4.a. The Recipient shall ensure that for each activity of a type for which the ESAP provides that a RAPmust be prepared that such RAP shall, within six (6) months of the Effective Date, be prepared, in form and substance satisfactoryto the Association (including, without limitation to the above, the provision of funds for resettlement compensation when and ifrequired under said RAP).
Schedule 2, Section I.D.5. The Recipient shall, no later than six (6) months after the Effective Date, ensure that the diagnosticstudy on dam safety has been completed, in accordance with terms of reference satisfactory to the Association.

Section I.C.2. The Recipient shall furnish to the Association, not later than November 30 of each year, the annual work plans andbudgets approved by the PSC for the Association's review and approval; except for the annual work plan and budget for the Projectfor the first year of Project implementation, which shall be furnished no later than one (1) month after the Effective Date. Onlythe activities included in an annual work plan and budget expressly approved by the Association (each an “Annual Work Plan andBudget”) are eligible to a financing from the proceeds of the Financing.
Section 1.E.3. The Recipient shall ensure that for each activity under the Project of a type for which the ESSAP provides that anESMP should be prepared, such ESMP shall within four (4) months of the Effective Date be prepared, in form and substancesatisfactory to the Association, and disclose it locally and at the Bank's InfoShop, before the implementation of such activity, inaccordance with the provisions of the ESMF, and the relevant activity is implemented in accordance with its ESMP.
Section 1.E.4. The Recipient shall, moreover, ensure that for each activity of a type for which the ESSAP provides that a RAPshould be prepared, such RAP shall within four (4) months of the Effective Date be prepared in form and substance satisfactory tothe Association, (including without limitation to the above, the provision of funds for resettlement compensation when and ifrequired under said RAP), and disclosed locally and at the Bank's InfoShop, before the implementation of such activity, inaccordance with the provisions of the ESSAP, and the relevant activity is implemented in accordance with its RAP.
Section II.A.1. The Recipient shall monitor and evaluate the progress of the Project and prepare Project Reports in accordance withthe provisions of Section 4.08 of the General Conditions and on the basis of indicators acceptable to the Association. EachProject Report shall cover the period of one calendar semester and shall be furnished to the Association not later than 45 daysafter the end of the period covered by such report.
Section II.B.2. The Recipient shall prepare and furnish to the Association not later than 45 days after the end of each calendarquarter interim unaudited financial reports for the Project covering the quarter, in form and substance satisfactory to theAssociation.
Section II.B.3.The Recipient shall have its Financial Statements audited in accordance with the provisions of Section 4.09 (b) ofthe General Conditions. Each audit of the Financial Statements shall cover the period of one fiscal year of the Recipient. Theaudited Financial Statements for each such period shall be furnished to the Association not later than six months after the end ofsuch period.
Section II.B.4. The Recipient shall not later than six (6) months after the Effective Date recruit and thereafter retain anexternal auditor.
Section II.B.5. The Recipient shall, not later than three (3) months after the Effective Date install a customized accountingsoftware.

The Recipient shall furnish to the Association, not later than November 30 of each year, the annual work plan and budget, asprepared by the MAHRN Technical Unit and approved by the Project Steering Committee, for the Association's review and approval;except for the annual work plan and budget for the Project for the first year of Project implementation, which shall be furnishedno later than two (2) months after Effective Date. Only the activities included in an annual work plan and budget expresslyapproved by the Association are eligible to a financing from the proceeds of the Financing.
The Recipient shall, not later than four (4) months after the Effective Date, adopt the ESMF and RPF, in form and substancesatisfactory to the Association, and shall ensure that said ESMF and RPF are consulted upon in advance with affected communitiesand disclosed in the territory of the Recipient and at the InfoShop.
The Recipient shall prepare and furnish to the Association as part of the project Report not later than forty-five (45) days afterthe end of each calendar quarter, interim unaudited financial reports for the Project covering the quarter, in form and substancesatisfactory to the Association.
Each audit of the Financial Statements shall cover the period of one fiscal year of the recipient commencing with the fiscal yearin which the first withdrawal was made under the Preparation Advance for the Project. The audited Financial Statements for eachsuch period shall be furnished to the Association not later than six (6) months after the end of such period.

The Recipient shall, not later than one (1) month after the Effective Date, formalize the land title for the Project Site(Financing Agreement, Schedule 2, Section I, H, 2)
The Project Implementation Unit shall, not later than two (2) months after the Effective Date customize its existing accountingsoftware to confirm with the SYSCOHADA accounting system to be applied to the Project (Financing Agreement, Schedule 2, Section1.H.1).
The Recipient shall, not later than three (3) months after the Effective Date, conclude a Design, Supply and Installation,Operation and Maintenance Contract for a solar PV plant with battery storage, with a Contractor following a competitive tender, inform and substance satisfactory to the Association (Financing Agreement, Schedule 2, Section 1.G.1).
The Recipient shall, not later than six (6) months after the Effective Date recruit an external auditor with terms of reference,qualifications and experience satisfactory to the Association (Financing Agreement, Schedule 2, Section 1.E).
The Recipient shall furnish to the Association, not later than November 30 of each year, the annual work plans and budgets approvedby the Steering Committee for the Association's review and approval; except for the annual work plan and budget for the Project forthe first year of Project implementation, which shall be furnished no later than one (1) month after the Effective Date. Only theactivities included in an annual work plan and budget expressly approved by the Association (each an “Annual Work Plan and Budget”)are eligible to be financed from the proceeds of the Financing (Financing Agreement, Schedule 2, Section 1.C.2).

Safeguards (Financing agreement: Schedule 2, section I.E.2)The Recipient shall within six (6) months of the date of effectiveness,prepare adopt and disclose the Safeguard Documents and shall thereafter ensure that the Project shall be implemented in accordancewith the guidelines, procedures, timetables and other specifications set forth in said Safeguard Documents, including the ESMF, theRPF, the IPPF, the PF and the IPMP
Steering Committee (Financing agreement: Schedule 2, section I.A.2)The Recipient shall, within one (1) months of the date ofeffectiveness, establish, and at all times during Project implementation maintain, the Steering Committee (“SC”) with compositionand mandate acceptable to the Association; said SC.(i) shall be chaired by the MWFHF and co-chaired by the MMG. Other membersshall include the Ministries of: (i) Economy, Planning and Cooperation; (ii) Land Management, Decentralization and LocalDevelopment; and (iii) Agriculture and Rural Development, and representatives from Affected Prefectures; (ii) shall beresponsible for providing overall strategic and institutional guidance, general oversight of Project implementation, performancemonitoring, cross-sectoral coordination and consistency with national mining sector policy and strategies, the review andvalidation of Annual Work Plans and Budgets, procurement plans, annual audit reports and progress reports;(iii) shall meet atleast once every six (6) months.
Sub-grants (Financing agreement: Schedule 2, section I.D.3)The Recipient shall cause the Project to recruit a Third PartyImplementer within (6) six months of the date of effectiveness in accordance with terms, conditions and selection criteria andprocedures specified in the Project Implementation Manual (PIM), and thereafter cause the Third Party Implementer to:a.carry outthe fiduciary and technical oversight of the Small Grants Program under activity 4.2 of the Project; andb.within twelve (12)months of the Effective Date, prepare the Small Grants Manual in form and substance acceptable to the Association, said manual toinclude: detailed arrangements, procedures and mechanisms for the implementation of the Small Grants Program; detailedarrangements, selection criteria (for Small Grants and Small Grants Beneficiaries) and procedures, and implementation mechanismsfor the Small Grants Program, including accounting, disbursement and financial management; procurement; the eligibility andselection criteria, transfer and verification mechanisms; safeguards; monitoring, evaluation, reporting and communication;and other such administrative, financial, technical and organizational arrangements and procedures as shall be required forpurposes of implementing said Small Grant Program.
Fiduciary undertakings (Financing agreement: Schedule 2, section I.F.1)The following fiduciary staff, inter alia: (i) aprocurement specialist; (ii) a financial management specialist; and (iii) an accountant shall be hired within two months followingthe effectiveness of the project, and shall be maintained at all times during project implementation.

Schedule 2, Section II.B.4: Financial Management, Financial Reports and Audits: The Recipient shall, not later than three (3)months after the Effective Date, ensure that the PIU recruits, and thereafter retains, a senior accountant with qualifications andexperience satisfactory to the Association.

Schedule 2, Section I.F.3: Safeguards:The Recipient shall ensure that for each activity under the Project of a type for which theESSAP provides that an ESMP or ESIA must be prepared:(a) such ESMP or ESIA shall, within six (6) months of the Effective Date, beprepared, in form and substance satisfactory to the Association;(b) such ESMP or ESIA shall be disclosed locally and on theAssociation's website before the implementation of such activity, in accordance with the provisions of the ESSAP; and (c) therelevant activity is implemented in accordance with the relevant ESIA or ESMP.
Schedule 2, Section I.F.4: Safeguards:The Recipient shall ensure that for each activity of a type for which the ESSAP providesthat a RAP must be prepared:(a) such RAP shall, within six (6) months of the Effective Date, be prepared, in form and substancesatisfactory to the Association (including, without limitation to the above, the provision of funds for resettlement compensationwhen and if required under said RAP);(b) such RAP shall be disclosed locally and on the Association's website before theimplementation of such activity, in accordance with the provisions of the ESSAP; and(c) the relevant activity is implemented inaccordance with its RAP.
