Financing Agreement, Schedule 2, Section I.A., para 1. To ensure proper oversight of the Project, the Recipient shall maintainthroughout the Project implementation period, a Steering Committee, with a mandate, composition and resources satisfactory to theAssociation.
Financing Agreement, Schedule 2, Section I.A., para 2. The Recipient shall cause the Project Implementing Entity to maintain,throughout the Project implementation period, staff and/or personnel in adequate numbers for the implementation of Projectactivities.
Financing Agreement, Schedule 2, Section I.A., para 3. The Recipient shall cause the Project Implementing Entity to maintainthroughout the Project implementation period, Project Management Unit with a mandate, composition and resources satisfactory to theAssociation.
Financing Agreement, Schedule 2, Section I.C, para. 1(b). No later than one (1) month after Effective Date, the Recipient shalladopt a Project Operations Manual, in form and substance satisfactory to the Association, for the purpose of ensuring properimplementation of the Project.
Financing Agreement, Schedule 2, Section I.E., para 1. The Recipient shall cause the Project Implementing Entity to prepare andfurnish to the Association, not later than November 30 of each year during the implementation of the Project (or such laterinterval or date as the Association may agree), an Annual Work Plan and Budget containing all eligible Project activities andexpenditures proposed to be included in the Project for the following fiscal year of the Recipient.
Financing Agreement, Schedule 2, Section II, para 1. The Recipient shall cause the Project Implementing Entity to furnish to theAssociation each Project Report not later than one month after the end of each calendar quarter, covering the calendar quarter.
Financing Agreement, Schedule 2, Section II, para 2. The Recipient shall carry out, jointly with the Association, not later thanJune 30, 2023, or such other period as may be agreed with the Association, a mid-term review of the Project (the “Mid-Term Review”)to assess the status of Project implementation, as measured against the Project indicators acceptable to the Association, andcompliance with the legal covenants included or referred to in this Agreement.
Financing Agreement, Schedule 2, Section IV.A. The Recipient shall ensure that - throughout the duration of the Project - SolomonWater remains financially sustainable as indicated by the ability of Solomon Water to recover its costs (operations and maintenancecosts as well as depreciation costs of plants and equipment it operates) through user fees and/or government subsidies.
Project Agreement, Schedule, Section IV, para 2. The Project Implementing Entity shall undertake a study – under the terms ofreference acceptable to the Association – to review water tariffs of Solomon Water (including a focus on affordability aspects) andfurnish the completed study to the Association no later than December 31, 2020.

The Recipient shall establish by no later than June 1, 2018, and thereafter maintain, a Technical Coordination Committee, withterms of reference, composition and resources satisfactory to the Association. (Section I.A.1 of Schedule 2 to the FinancingAgreement).
The Recipient shall maintain two Project Management Units, one within HCC which shall be responsible for HCC's implementation ofParts 1, 3 and 4 of the Project, and one within MID which shall be responsible for MID's implementation of Parts 2 and 4 of theProject, each with mandate, composition and resources satisfactory to the Association. (Section I.A.2 of Schedule 2 to theFinancing Agreement).
The Recipient, through HCC, shall: (a) by no later than July 31, 2018, confirm to the Association in writing that one senior worksofficer and one community liaison officer have been appointed at the provincial level to support Malaita Provincial Government withits execution of Project activities in Malaita province; and one senior works officer and one community liaison officer have beenappointed at the provincial level to support Western Provincial Government with its execution of Project activities in Westernprovince, each with terms of reference, qualifications and experience satisfactory to the Association; and (b) ensure that suchofficers are maintained at the provincial level throughout the Project implementation period. (Section I.A.3 of Schedule 2 to theFinancing Agreement).
To facilitate proper implementation of the Project in Guadalcanal, Malaita and Western provinces, the Recipient shall ensure thatthe Project is implemented by HCC and MID with support and participation from Guadalcanal Provincial Government, Malaita ProvincialGovernment and Western Provincial Government, in a manner set forth in the Participation Agreement and the Project OperationsManual. (Section I.A.4 of Schedule 2 to the Financing Agreement).
The Recipient, through HCC and MID, shall: (i) prepare and furnish to the Association for review and no-objection, a ProjectOperations Manual; (ii) adopt the Project Operations Manual as accepted by the Association; and (iii) ensure that the Project iscarried out in accordance with the arrangements and procedures set out in the Project Operations Manual. (Section I.D of Schedule 2to the Financing Agreement).
The Recipient shall prepare and furnish to the Association not later than November 30 of each year during the implementation of theProject (or such later date as the Association may agree) for the Association's no-objection, an Annual Work Plan and Budget, andthe Recipient shall implement the Project in accordance with the Annual Work Plan and Budget accepted by the Association for theRecipient's respective fiscal year. (Section I.E of Schedule 2 to the Financing Agreement).

The Recipient shall cause the Project Implementing Entity to, and the Project Implementing Entity shall, maintain, throughout theProject implementation period, staff and personnel in adequate numbers for the implementation of Project activities. Withoutlimitation to the generality of the foregoing, the Recipient shall cause the Project Implementing Entity to, and the ProjectImplementing Entity shall: (a) maintain throughout the Project implementation period, a financial management specialist; and (b)(i) by no later than three (3) months after the Effective Date, recruit or appoint the following staff and/or personnel: (A) aProject manager; and (B) a program manager; (C) a procurement specialist; (D) a safeguards specialist; and (E) a solar engineer;and (ii) thereafter maintain such positions throughout the Project implementation period.(Section I.A of Schedule 2 to theFinancing Agreement; Section I.A of Schedule 2 to the Grant Agreement; Section I.A of the Schedule to the Project Agreement; andSection I.A of the Schedule to the Trust Fund Project Agreement)
By no later than three (3) months after the Effective Date, the Recipient shall cause the Project Implementing Entity to, and theProject implementing Entity shall, prepare and adopt a Project Implementation Manual. (Section I.C of Schedule 2 to the FinancingAgreement; Section I.A of Schedule 2 to the Grant Agreement; Section I.C of the Schedule to the Project Agreement; and Section I.Aof Schedule to the Trust Fund Project Agreement)
The Recipient shall not submit an application for withdrawal of Financing proceeds allocated from time to time to Category (2)unless and until the Association has received, from the Independent Verification Agent, an Output Verification Report in form andsubstance satisfactory to the Association, verifying that the eligibility and functionality of Electrical Connections claimed inthe Subsidy Payment are in accordance with the Project Implementation Manual and this Agreement. (Section I.D.2 of Schedule 2 tothe Financing Agreement)

The Recipient shall maintain, in collaboration with the Program Countries, until the Closing Date, a Program Steering Committee,with a mandate, composition and resources satisfactory to the Association. (Section I.A.1 of Schedule 2 to the Financing Agreement)
To ensure proper oversight of the Project at the national level, the Recipient shall establish, by not later than three (3) monthsafter the Effective Date (or such other date which the Association has confirmed in writing to the Recipient is reasonable andacceptable under the circumstances, as determined by the Association in its sole discretion) and maintain until the Closing Date, aNational Steering Committee with a mandate, composition and resources satisfactory to the Association. (Section I.A.2 of Schedule 2to the Financing Agreement)
The Recipient shall, in collaboration with the other Program Countries, ensure that the Regional Procurement Evaluation Committee,is maintained throughout the Project implementation period, comprised of representatives the Program Countries and PASO to beresponsible for evaluating regional level procurement activities under the Project. (Section I.A.3 of Schedule 2 to the FinancingAgreement)
The Recipient shall ensure that the Project is carried out in accordance with the Operations Manual. (Section I.C of Schedule 2 tothe Financing Agreement)
The Recipient shall maintain until the Closing Date, a Project Support Team comprised of, inter alia: (i) a program manager; (ii) aproject manager; (iii) a deputy project manager; (iv) a finance manager; (v) a procurement specialist; (vi) a national safeguardsspecialist; (vii) a community liaison officer; and (viii) a project accountant.(Section I.A.4 of Schedule 2 to the FinancingAgreement)
The Recipient shall maintain, until December 31, 2019, a Service Agreement with TAL, with terms and conditions satisfactory to theAssociation. (Section I.B.1 of Schedule 2 to the Financing Agreement)
The Recipient shall ensure that the Project is implemented in accordance with the Annual Work Plans and Budgets approved by theAssociation for the respective fiscal year, and inform the Association prior to making or allowing to be made any change to theAnnual Work Plans and Budgets. (Section I.D of Schedule 2 to the Financing Agreement)
The Recipient shall maintain, until the Closing Date, a focal point within the Ministry of Communication and Aviation, with termsof reference, qualificaitons and experience satisfactory to the Association. (Section I.A.5 of Schedule 2 to the FinancingAgreement)The Recipient shall maintain, until the Closing Date, a focal point within the Ministry of Infrastructure Development,with terms of reference, qualificaitons and experience satisfactory to the Association. (Section I.A.6 of Schedule 2 to theFinancing Agreement)
Without limitation of the provisions of Section 5.03 of the General Conditions, the Recipient shall allocate adequate funds tocover the full cost of financing Part 2(b) of the Project. To this end, the Recipient shall ensure that by no later than June 30,2020, counterpart financing in an amount of not less than three million six hundred thousand Dollars ($3,600,000) shall be either:(a) deposited in a separate bank account acceptable to the Association; or (b) shall be otherwise allocated in a manner acceptableto the Association.

The Additional Event of Suspension consists of the following, namely that, the Fisheries Management Act has been amended,suspended, abrogated, repealed or waived in a manner that is not compatible with international law, specifically the United NationsConvention on the Law of the Sea, or in a manner that would affect materially and adversely the ability of the Recipient to performany of its obligations under the Financing Agreement.
The Recipient shall ensure that:(f) all monitoring, control and surveillance activities carried out by the Recipient shall beunder the control of a civilian fisheries officer or another civilian agency of the Recipient acceptable to the Association, andshall be carried out under terms of reference limited tofisheries surveillance;(g) each surveillance mission carried out by theRecipient shall be: (a) governed by detailed protocols prepared in accordance with terms of reference satisfactory to theAssociation, requiring that such missions be: (i) under the operational command or authority of a civilian fisheries officer; and(ii) conducted during a specific time period that is duly recorded and documented; and (b) be conducted by personnel who have beenproperly trained in the operation of any equipment used in the surveillance mission;(h) where a patrol or surveillance mission hasmultiple tasks: (i) accounts are maintained in a manner acceptable to the Association which demonstrate that the Financing has beenused for the exclusive purpose of financing fisheries surveillance activities; and (ii) that theAssociation is granted access tosuch accounts;(i) all goods, works, services and operating costs for fisheries monitoring, control and surveillance and relatedenforcement activities financed out of the proceeds of the Financing are used for the sole purpose of enforcing the fisheries lawsand regulations and shall not be used for any military purpose, or for enforcement of other non-fisheries laws; and(j) allfisheries monitoring, control and surveillance and related enforcement activities carried out under the Project, shall becompatible with international law, and specifically, with Article 73 of the United Nations Convention Law of the Sea Treaty, that:(a) any foreignvessels and crew arrested in the Recipient's exclusive economic zone shall be immediately released upon posting areasonable bond or other security; (b) penalties imposed by the Recipient for violations of fisheries laws and regulations may notinclude imprisonment;and (c) in cases of arrest or detention of foreign vessels, the Recipient shall promptly notify the flagstate of the action taken and of any penalties subsequently imposed.
No withdrawal shall be made for DLI Expenditures under Category (2) until and unless the Recipient shall have: (i) complied withthe additional instructions referred to in Section IV.A.1 of this Schedule, including submission to the Association of theapplicable statements of expenditure evidencing the incurrence of eligible DLI Expenditures during the respective DLI Period forwhich payment is requested; and (ii) furnished evidence satisfactory to the Association, in accordance with the verificationprotocol set out in Annex 2 of Schedule 2 to the Financing Agreement, that the DLI Target for the respective DLI Period for whichpayment is requested has been achieved.
The Recipient shall by not later than two (2) months after the Effective Date, revise the existing PROP Program Operations Manual,in form and substance acceptable to the Association.
The Recipient shall, not later than February 15, 2019 (or such other date as the Association may agree), carry out a mid-termreview of the Project.
The Recipient shall, by not later than two months after the Effective Date, appoint and thereafter maintain, an appropriatestaffing complement within the Ministry of Fisheries and Marine Resources (MFMR), to be responsible for, inter alia, overseeingimplementation and monitoring of the Project.
The Recipient shall terminate the existing Service Agreement between the Recipient and FFA, under terms and conditions acceptableto the Association, within one month after final DLI disbursement of the CY 2018 DLI period.
