The Recipient shall deposit into the Project Account an initial contribution of the equivalent of US$75, 000 by no later thanMarch31, 2007, and every year thereafter by March 1
The Recipient shall submit to IDA before February 15 of each project year, an updated Procurement Plan in form and substancesatisfactory to IDA.
Beginning Year 2 of project, the Recipient shall prepare Service Level Agreements satisfactory to IDA for central and regionaldirectorates of DOSE to be signed by September 1 of each year.
Recruit an internal auditor who will carry out internal control reviews for the Original Project and the Project and performex-post audits and ensure that actions will be taken on reports
Submit memoranda of understanding in form and substance satisfactory to the Association, signed between the MoBSE and MoHERST
By not later than two (2) months after the Effective Date, the Recipient shall adopt a revised Project Implementation Manual forthe Project
By not later than eight (8) months after Effective Date, the Recipient shall set up the e-centers; and
Provide the financing for the salary incremental of the first cohort of teachers participating in the training program who achievea credit in English and Math on WASSCE Exam

No later than three (3) months after the Effective Date, the Recipient shall cause its existing accounting software (FIMIS) to becustomized by an expert firm engaged under terms of reference acceptable to the Association to take account of the Project's designand components, Schedule 2, Section IV.1 of Financing Agreement
No later than six (6) months after the Effective Date, the Recipient shall recruit an external independent auditor for the Projectwith qualifications and experience, and under terms of reference, acceptable to the Association, Schedule 2, Section IV.2 ofFinancing Agreement
The Recipient shall ensure that the Project Implementing Entity, at all times during the implementation of the Project, maintain aDebt Service Coverage Ratio of greater than one (Schedule 2, Section IV.4. of Financing Agreement)
NAWEC is publicly disclosing on a quarterly basis, within 30 days of the end of each quarter, the balance of the escrow accountestablished for the purposes of funding costs related to the Operations and Maintenance of the solar plant financed through theProject.
No later than nine (9) months after the Effective Date, the Recipient shall recruit the Owner's Engineer with qualifications andexperience, and under terms of reference, acceptable to the Association, Schedule 2, Section IV.3 of Financing Agreement
No later than three (3) months after the effective date, the Recipient shall establish, and thereafter maintain throughout theimplementation of the Project, a steering committee, with a composition, mandate, and resources satisfactory to the Association,Schedule 2, Section I.A.1.(a) of Financing Agreement
The Recipient shall ensure that the Project Implementing Entity regularly collects, compiles and submits to the Association on asemester basis reports in form and substance satisfactory to the Association on the status of compliance with the SafeguardsInstruments, Schedule 2, Section I.E.4 of Financing Agreement
E.2 of Section I of Schedule 2 of Financing Agreement: The Recipient shall undertake no activities under the CERC Part unless anduntil the following conditions have been met in respect of said activities: (a) the Recipient has determined that an EligibleCrisis or Emergency has occurred, has furnished to the Association a request to include said activities in the CERC Part in orderto respond to said Eligible Crisis or Emergency, and the Association has agreed with such determination, accepted said request andnotified the Recipient thereof; (b) the Recipient has prepared and disclosed all safeguards instruments required for saidactivities, in accordance with the CERC Operations Manual, the Association has approved all such instruments, and the Recipient hasimplemented any actions which are required to be taken under said instruments.
F.1 of Section I of Schedule 2 of Financing Agreement: The Recipient shall: (d) ensure that the CERC Part is carried out inaccordance with the CERC Operations Manual; provided, however, that in the event of any inconsistency between the provisions of theCERC Operations Manual and this Agreement, the provisions of this Agreement shall prevail; and (e) not amend, suspend, abrogate,repeal or waive any provision of the CERC Operations Manual without prior approval by the Association.
Para 1 of Section IV of Schedule 2 of Financing Agreement: The Recipient shall, not later than one (1) month after the EffectiveDate, cause the PIE to update and thereafter adopt, the Project Implementation Manual in accordance with the provisions of SectionI.C of Schedule 2 to this Agreement.
Para 2 of Section IV of Schedule 2 of Financing Agreement: To facilitate the proper maintenance of its financial management systemreferred to in Section 5.09 of the General Conditions, the Recipient shall, not later than one (1) month after the Effective Date,cause the PIE to amend, in accordance with terms of reference acceptable to the Association, the contract with the externalindependent auditor for the Original Project, to incorporate the additional activities under Schedule 1 to this Agreement.
Para 3 of Section IV of Schedule 2 of Financing Agreement: To facilitate the proper maintenance of its financial management systemreferred to in Section 5.09 of the General Conditions, the Recipient shall, not later than one (1) month after the Effective Date,cause the PIE to update its existing accounting software for the Original Project, to incorporate bookkeeping systems for theProject, in accordance with terms of reference acceptable to the Association.
E.2 of Section I of Schedule 2 of Financing Agreement: The Recipient shall: (a) prior to commencement of bidding for civil works,cause the PIE to: (i) prepare, in accordance with terms of reference and process acceptable to the Association, and thereafteradopt the Environmental and Social Impact Assessment (“ESIA”) required for the civil works and the Environmental and SocialManagement Plan (“ESMP”), in form and substance satisfactory to the Association; (ii) furnish said ESIA and ESMP to the Associationfor its review and approval; and (iii) adopt and disclose the ESIA and ESMP in the Recipient's territory; and (iv) incorporate saidESMP in the bidding documents; and (b) thereafter, implement, and cause the PIE to implement, the Project in accordance with suchESMP.
B.1(c) of Section III of Schedule 2 of Financing Agreement: No withdrawal shall be made under Category (5) for EmergencyExpenditures under Part 6 of the Project, unless the Association is satisfied, and has notified the Recipient of its satisfaction,that all of the following conditions have been met in respect of said activities: (i) the Recipient has determined that anEligible Crisis or Emergency has occurred, has furnished to the Association a request to include said activities in the CERC Partin order to respond to said Eligible Crisis or Emergency, and the Association has agreed with such determination, accepted saidrequest and notified the Recipient thereof; (ii) the Recipient has prepared and disclosed all safeguards instruments required forsaid activities, and the Recipient has implemented any actions which are required to be taken under said instruments, all inaccordance with the provisions of Section I.E of Schedule 2 to this Agreement; and (iii) the Recipient has adopted a CERCOperations Manual in form, substance and manner acceptable to the Association.
E.3 of Section I of Schedule 2 of Financing Agreement: The Recipient, prior to initiating the carrying out of any civil works,shall: (a) (i) cause the PIE to prepare, in accordance with terms of reference and process acceptable to the Association, andthereafter adopt any Resettlement Action Plan (“RAP”) and Abbreviated Resettlement Action Plan (“ARAP”) required for such activityand furnish said RAP and ARAP, as the case may be, to the Association for its review and approval; and (ii) adopt and disclose suchRAP and ARAP in the Recipient's territory; (b) if any activity under the Project would involve Affected Persons, ensure that: (i)no displacement (including restriction of access to legally designated parks and protected areas) shall occur before resettlementmeasures under the applicable RAP and ARAP, including, in the case of displacement, full payment to Affected Persons ofcompensation and of other assistance required for relocation, have been taken; and (ii) provide from its own resources, anyfinancing required for any measures under subparagraph (i) above including any costs associated with land acquisition required forthe Project; and (c) thereafter implement, and cause the PIE to implement, the Project, in accordance with such RAP and ARAP.
B.1(b) of Section III of Schedule 2 of Financing Agreement: No withdrawal shall be made under Categories (1) and (2) respectively,unless and until the Recipient has fully withdrawn (100%) the allocations under Categories (1) and (2) respectively, under theOriginal Financing Agreement;
