The Additional Event of Suspension consists of the following, namely that, Title 51 of the Marshall Islands Revised Code has beenamended, suspended, abrogated, repealed or waived in a manner that is not compatible with international law, specifically theUnited Nations Convention on the Law of the Sea, or in a manner that would affect materially and adversely the ability of theRecipient and the Project Implementing Entity to perform any of their obligations under the Financing Agreement and/or the ProjectAgreement.
The Recipient shall ensure that:(a) all monitoring, control and surveillance activities carried out by the Recipient shall beunder the control of a civilian fisheries officer or another civilian agency of the Recipient acceptable to the Association, andshall be carried out under terms of reference limited to fisheries surveillance;(b) each surveillance mission carried out by theRecipient shall be: (a) governed by detailed protocols prepared in accordance with terms of reference satisfactory to theAssociation, requiring that such missions be: (i) under the operational command or authority of acivilian fisheries officer; and(ii) conducted during a specific time period that is duly recorded and documented; and (b) be conducted by personnel who have beenproperly trained in the operation of any equipment used in the surveillance mission;(c) where a patrol or surveillance mission hasmultiple tasks: (i) accounts are maintained in a manner acceptable to the Association which demonstrate that the Financing has beenused for the exclusive purpose of financing fisheries surveillance activities; and (ii) that theAssociation is granted access tosuch accounts; (d) all goods, works, services and operating costs for fisheries monitoring, control and surveillance and relatedenforcement activities financed out of the proceeds of the Financing are used for the sole purpose of enforcing the fisheries lawsand regulations and shall not be used for any military purpose, or for enforcement of other non-fisheries laws; and(e) allfisheries monitoring, control and surveillance and related enforcement activities carried out under the Project, shall becompatible with international law, and specifically, with Article 73 of the United Nations Convention Law of the Sea Treaty, that:(a) any foreign vessels and crew arrested in the Recipient's exclusive economic zone shall be immediately released upon posting areasonable bond or other security; (b) penalties imposed by the Recipient for violations of fisheries laws and regulations may notinclude imprisonment; and (c) in cases of arrest or detention of foreign vessels, the Recipient shall promptly notify the flagstate of the action taken and of any penalties subsequently imposed.
No withdrawal shall be made for DLI Expenditures under Category (2) until and unless the Recipient shall have: (i) complied withthe additional instructions referred to in Section IV.A.1 of this Schedule, including submission to the Association of theapplicable statements of expenditure evidencing the incurrence of eligible DLI Expenditures during the respective DLI Period forwhich payment is requested; and (ii) furnished evidence satisfactory to the Association, in accordance with the verificationprotocol set out in Annex 2 of Schedule 2 to the Financing Agreement, that the DLI Target for the respective DLI Period for whichpayment is requested has been achieved.
MIMRA shall not later than two months following the Amendment Effective Date, revise its operations manual for the Project (thePOM), in form and substance acceptable to the Association.
MIMRA shall take all measures necessary to enable the independent verification agent appointed by FFA to complete its independentverification of, and report to FFA and the Association on, the status of achievement of all DLI Targets through the DLI Period ofCY2018 (Year 4), then ensure the service agreement, is duly terminated by agreement with FFA.
The Project Implementing Entity shall ensure all goods, works, services and operating costs for fisheries monitoring, control andsurveillance and related activities financed out of the proceeds of the Financing are used for the sole purpose of supportingcompliance with fisheries laws and regulations and shall not be used for any military purpose, or for enforcement of othernon-fisheries laws
The Recipient shall: (a) by December 31, 2018 (or such other date as the Association may agree), carry out a mid-term review of theProject.
MIMRA to: (i) take all measures necessary to enable the independent verification agent appointed by FFA to complete its work of thestatus of achievement of all DLI Targets through the DLI Period 2018; and (ii) take all action required on its part to ensure that,not later than 1 month after the final disbursement based on DLIs its service agreement is duly terminated.
MIMRA to: (i) maintain the PCU with TORs and resources acceptable to the Bank, throughout implementation, headed by the ProjectCoordinator; and (ii) not later than 2 months following the Amendment Effective Date, appoint key persons to assist the ProjectCoordinator, each with TORs, and Q&Es acceptable to the Bank.

In carrying out activities under the Project, the Recipient shall enter into an Insurance Contract with an Eligible Insurer underterms and conditions acceptable to the Association.
The Recipient shall, in collaboration with SPC, PIFS and the other Participating Countries, take all necessary measures on its partto ensure that the Regional Advisory Committee is maintained within PIFS from the Effective Date to November 30, 2020, with amandate, adequate resources and composition satisfactory to the Association.

SCHEDULE 2 Section I C 1: RMI shall prepare, by no later than four (4) months after the Effective Date, and thereafter adopt amanual, that is in form and substance acceptable to the Association, setting forth the arrangements and procedures forimplementation of the Project, including: (a) institutional arrangements for day to day execution of the Project; (b) theprocurement plan and implementation arrangements; (c) implementation arrangements for Safeguard Instruments; (d) budgeting,disbursement, and financial management arrangements; (e) Project monitoring, reporting, and evaluation arrangements, includingperformance indicators; (f) performance indicators; and (g) criteria and procedures for identifying additional areas for activitiesunder Part 2 of the Project (“Project Operations Manual”).
SCHEDULE 1 Section V: To ensure availability of adequate funds for the Project, RMI shall take all reasonable measures required ornecessary on its part to secure, by not later than January 1, 2019, an amount of at least twenty-five million Dollars(US$25,000,000) to assist in financing of the Project.
The Recipient shall, by not later than 4 months after the Effective Date, enter into and thereafter maintain, until the closingdate specified in the SPC PREP II Financing Agreement, a Service Agreement with SPC.
The Recipient shall establish, by not later than three (3) months after the Effective Date, and thereafter maintain, throughout theProject implementation period, a National Steering Committee, with a mandate, adequate resources and composition satisfactory tothe Association, with further details described in said Section.
The Recipient shall maintain, throughout the Project implementation period, a PIU within MOF, with a mandate, adequate resourcesand composition satisfactory to the Association, which shall be responsible for, inter alia, carrying out day-to-day implementationof the Project, with support from specialists from other departments and/or units of MOF.

Without limitation to the generality of theforegoing, the Project Steering Committee shall be chaired by the Chief Secretary of the Public Service (or such other person whichthe Association has confirmed in writing to the Recipient as acceptable to the Association, as determined in its sole discretion,under the circumstances), and be composed of representatives from, inter alia, MFBPS, Energy Planning Division, MEC, KAJUR,Ministry of Works, Infrastructure and Utilities, Kwajalein Atoll Development Authority, Combined Utilities Board, and Majuro Waterand Sewer Company (MWSC).
Project Implementation Unit (Legal Agreements-Schedule 2, Section I.A.2)The Recipient shall maintain, until the Closing Date, theProject Implementation Unit within MEC, with a mandate, composition and resources satisfactory to the Association, which shall beresponsible for coordinating the implementationof the Project by MFBPS, MEC, EPD, MWSC and KAJUR, in a manner set forth in theMemorandum of Understanding, in a form and substance acceptable to the Association. Without limitation to the generality of theprovisions of Section I.A.2 of this Schedule 2, the Project Implementation Unit shall: (a) include the following minimum key staff,each with terms of reference, qualifications and experience satisfactory to the Association: (i) a Project manager; and (ii) atechnical advisor; and (b) include the following minimum key staff or be supported by specialists from the MFBPS, each with termsof reference, qualifications and experience satisfactory to the Association, in the following roles: (i) an accountant; (ii) aprocurement specialist; and (iii) a safeguards specialist.
Project Implementation Manual (Legal Agreements-Schedule 2, Section I.B.1)The Recipient shall prepare and adopt, by no later thanthree (3) months after the Effective Date, a manual, in form and substance acceptable to the Association, setting forth thearrangements and procedures for implementation of theProject, including: (a) the institutional arrangements for day to dayexecution of the Project; (b) the implementation arrangements for Safeguard Documents; (c) budgeting, disbursement, and financialmanagement arrangements; (d) procurement arrangements; (e) Project monitoring, reporting, and evaluation arrangements; (f)performance indicators; (g) criteria and procedures to be used for the selection of energy efficiency investment activitiesundertaken under Part 2(b) of the Project; (h) the boundaries of Project Areas and the criteria and procedure for selectingadditional Project Areas; and (i) criteria and procedures to be used for the selection of Outer Islands for activities undertakenunder Part 3(b) of the Project (“Project Implementation Manual”).
Operation and Maintenance Fund ( Legal Agreements-Schedule 2, Section I.E.1)The Recipient shall, by no later than twelve (12)months after the Effective Date, establish and thereafter maintain until the Closing Date, a fund for the operation and maintenanceof the renewable energy investments supplied and installed under Part 1 of the Project (“O&M Fund”).
