To carry out Part 2(b)(v) of the Project, the Borrower, through MINEDUC, shall enter into an agreement with INEVAL (“INEVALAgreement”) under terms and conditions acceptable to the Bank including : (a) the Borrower's obligation to transfer, on a grantbasis, part of the proceeds of the Loan to INEVAL; (b) INEVAL's obligations to carry out the activities of Parts 2(b)(v) of theProject
INEVAL will maintain, until the completion of the Project, a dedicated Project team, responsible for monitoring the co-execution ofthe Project activities planned under its jurisdiction, with key staff with functions, experience, and qualifications acceptable tothe Bank, as described in the Operational Manual, including a procurement specialist and a financial management specialist.
Withdrawal Condition: Under Category (3) Section IV.B.1 (c) of Schedule 2 -No withdrawal shall be made until the INEVAL Agreementhas been fully executed in accordance with Section I.C of Schedule 2 to the Loan Agreement.
Schedule 2, Section I.A (c) ensure that 7 key staff working full time in the Project team: (i) within GUEM (Coordinator/M&Especialist, procurement specialist, FM specialist, and social and environmental specialists, and infrastructure technician); and(ii) within INEVAL (procurement specialist and FM specialist) are assigned no later than 30 days the effectiveness of thisAmendment.
Schedule 2, Section V.4 Without limitation of Section 5.03 of Gral. Conditions, the Borrower shall provide the counterpart fundsrequired for Project implementation currently estimated in US$4,002,654, distributed in accordance with the relevant table in theOM,such amount and table may be revised from time to time by mutual agreement, (exchange of letters) & notice to the Borrower bythe Bank.
For purposes of Schedule 2, Section II.B.3 no later than 30 days after the effectiveness date of this Amendment, the Borrower shallsubmit to the Bank for no-objection the terms of reference for the hiring of an independent auditor.
INEVAL will maintain, until the completion of the Project, a dedicated Project team, responsible for monitoring the co-execution ofthe Project activities planned under its jurisdiction, with key staff with functions, experience, and qualifications acceptable tothe Bank, as described in the Operational Manual, including a procurement specialist and a financial management specialist.
Schedule 2, Section V.3 (a) Not later than 3 months after the effectiveness date of this Amendment, select & contract an entity,independent from the Borrower w/experience and qualifications acceptable to the Bank for the carrying out of technical reviews ofthe implementation of the arrangements for school transportation for each School Hub built under the Project (TransportationReview).
No later than sixty (60) days after the effectiveness date of this Amendment, the Borrower, through MINEDUC, shall cause INEVAL toamend the closing date of the INEVAL Agreement in line with the revised closing date of the Loan Agreement.

SCHEDULE 2, Section I, A (i) Operate and maintain the EOD-PRETT, until the completion of the Project, comprised of key staff withfunctions, experience, and qualifications acceptable to the Bank, as described in the Operational Manual (OM) including a Projectcoordinator, and specialists for the monitoring and evaluation, procurement, financial management, social, environment, andinfrastructure.
SCHEDULE 2, Section I, A (ii) INEC until the completion of the Project will maintain a separate Project team comprised of keystaff with functions, experience, and qualifications acceptable to the Bank, as set in the OM, including: a Technical Coordinator,a Financial Management Specialist (FM), and a Labor Market & Statistical Specialist.
SCHEDULE 2, Section I, D (1)The Borrower shall adopt and carry out the Project in accordance with the provisions of a manual (theOperational Manual), acceptable to the Bank, which shall include, inter alia: (a) a detailed description of Project activities andinstitutional arrangements for the Project; (b) the Project administrative, budgeting, accounting, auditing, reporting, financial(including cash flow aspects), procurement and disbursement procedures; (c) the monitoring indicators for the Project; (d) theinstitutional and administrative mechanisms established to ensure inter-institutional coordination; (e) the regulations concerningthe design and micro-planning for IST consolidation ; and (f) the ESMF, IPPF and RPF [and the Existing EMPs, the Existing IPPs andthe Existing SMP.
SCHEDULE 2, Section I, A (iv) Not later than sixty (60) days after the effective date of the Amendment Letter, ensure that theTechnical Coordinator, Financial Management and Labor Market & Statistical Specialist in (ii) above, in respect of INEC have beenassigned to work full time.
SCHEDULE 2, Section I, A (v) Not later than one hundred twenty (120) days after the effective date of the Amendment Letter, ensurethat a complementary financial management system has been established in SENESCYT and is operational, all in a manner acceptable tothe Bank.
SCHEDULE 2, Section 1, C (1) -INEC shall revise the AGREEMENT To facilitate the carrying out of Subcomponent 3.2 of the Project(the INEC Agreement) under terms and conditions acceptable to the Bank including, among other things: (a) the Borrower's obligationto transfer, on a non-reimbursable basis, part of the proceeds of the Loan to INEC and; (b) INEC's obligations to carry out theactivities o
SCHEDULE 2, Section I, F (6)The Borrower, through SENESCYT shall, not later than ninety (90) days after the Effective Date,develop, in form and substance acceptable to the Bank, and following the guidelines set forth in the Operational Manual, agrievance redress mechanism that encompasses transparent, timely and fair procedures, for the purposes of ensuring that allcomplaints received from beneficiaries and other interested stakeholders related to any activity under the Project are properly andtimely addressed in a manner acceptable.
SCHEDULE 2, Section II, B (1) The Borrower, through SENESCYT, shall, and shall cause INEC to maintain or cause to be maintained afinancial management system in accordance with the provisions of Section 5.09 of the General Conditions.
Without limitation to the provision of Section 5.03 of the General Conditions, the Borrower shall provide, promptly, as needed, thecounterpart funds required for Project implementation estimated at two hundred ninety-six thousand two hundred twenty-four UnitedStates Dollars (US$296,224), as further detailed and distributed in accordance with the Operational Manual.
SCHEDULE 2, Section II, B (2)The Borrower, through SENESCYT, shall prepare and furnish to the Bank not later than forty five (45)days after the end of each calendar semester, interim unaudited financial reports for the Project covering the pertinent calendarsemester, in form and substance satisfactory to the Bank.
SCHEDULE 2, Section II, B (3)The Borrower, through SENESCYT, shall have its Financial Statements audited in accordance with theprovisions of Section 5.09 (b) of the General Conditions. Each audit of the Financial Statements shall cover the period of onefiscal year of the Borrower, or any other period acceptable to the Bank. The audited Financial Statements for each such periodshall be furnished to the Bank not later than six months after the end of such period.
SCHEDULE 2, Section II, B (4) The Borrower, through EOD PRETT under SENESCYT, shall, not later than 120 days before the end of: (i)the first calendar year of Project implementation or (ii) the period subject to audits, (whichever occurs first), submit to theBank for its no-objection the terms of reference for the hiring of an independent auditor.
SCHEDULE 2, Section V (2) the Borrower through EOD-PRETT not later than 12 months after the effective date of the Amendment Letter,select and contract an entity, independent from the Borrower with experience & qualifications acceptable to the Bank, in accordancewith TORs satisfactory to the Bank, to carry out the technical reviews referred in the Subcomponent 2.1 of the Project.
SCHEDULE 2: Section I, A (vi), Not later than sixty (60) days after the effective date of this Amendment Letter, ensure that onlyISTs that have a legalized land title will be included in the Project implementation plan, as set forth in the activities describedunder Schedule 1 to the Loan Agreement.
Withdrawal Condition: Under Category (3) Section IV.B.1 (c) of Schedule 2 -No withdrawal shall be made until the AMENDMENT to the“INEC Agreement” has been fully executed in accordance with Section I.B (2) of Schedule 2 to the Loan Agreement.

Not later than thirty (30) days after the Effective Date, establish, and thereafter maintain, at all times during Projectimplementation, a Project Implementing Unit (“PIU”) within SHR, with functions and responsibilities acceptable to the Bank as setforth in the Operational Manual, including, inter alia, the responsibility to coordinate, manage, implement, monitor and supervisethe carrying out of the Project;
Not later than one hundred and twenty (120) days after the Effective Date, ensure that a Project manager, technical/operationscoordinator, financial management, procurement, social and environmental specialists are assigned to work full time within the PIUunder terms of reference acceptable to the Bank;
Create at least five (5) territorial teams (PIU Territorial Teams) to be housed in SHR's existing zonal and district offices, withfunctions and responsibilities acceptable to the Bank as set forth in the Operational Manual, during the first year of Projectimplementation, all responsible for the coordination of Project activities within their respective Prioritized Territories.
Prior to carrying out any activities under Part 2.4 of the Project, the Borrower shall ensure that an inter-institutional agreementis signed between SHR and MPH, under terms and conditions satisfactory to the Bank, including, inter alia, the roles andresponsibilities for Part 2.4 of the Project, and coordination mechanisms with autonomous governments (Gobiernos AutónomosDecentralizados, GADs), and the Consortium of Provincial Autonomous Governments of Ecuador (Consorcio de Gobiernos ProvincialesAutónomos de Ecuador, CONGOPE).
If applicable, prior to carrying out any activities under Part 2.2, 2.3. and 3 of the Project, the Borrower shall ensure that, aninter-institutional agreement is signed between SHR and the relevant ministry or entity, under terms and conditions satisfactory tothe Bank, including, inter alia, the roles and responsibilities for implementing the respective part of the Project.

The Borrower, through MSP, shall: (a) ensure that the Project is carried out in accordance with the Emergency Preparedness andResponse Plan (EPRP); and (b) maintain, at all times during the implementation of the Project, adequate public health emergencycoordination and management arrangements, all in a manner acceptable to the Bank (Section I.A.1 of Schedule 2 to the LoanAgreement).
