The Recipient shall, by not later than March 31, 2020, ensure, or take all measures required or necessary on its part to ensure,that all other implementation arrangements required for Part 1 of the Project, as satisfactory to the Association and agreed inwriting with the Recipient, have been completed.

The Additional Event of Suspension consists of the following, namely that, the Marine Resources Act has been amended, suspended,abrogated, repealed or waived in a manner that is not compatible with international law, specifically the United Nations Conventionon the Law of the Sea, or in a manner that would affect materially and adversely the ability of the Recipient to perform any of itsobligations under the Financing Agreement.
The Recipient shall, by not later than four months after the Effective Date, appoint and thereafter maintain, a national Projectcoordinator, within the National Oceanic Resources Management Authority (NORMA), to be responsible for, inter alia, overseeingimplementation and monitoring of the Project, including coordinating with the PSU, managing all contracts financed under theproject, and ensuring environmental and social safeguards compliance.
The Recipient shall, in collaboration with FFA and other Participating Countries, take all necessary action on its part toestablish, by not later than six (6) months after the Effective Date, and thereafter maintain, a Regional Procurement EvaluationCommittee, comprising representatives from FFA, and each Participating Country, to be responsible for contract awarddecision-making for regionally packaged procurement activities.
To facilitate proper and efficient implementation of the Project, the Recipient shall by not later than six (6) months after theEffective Date enter into and maintain, throughout the Project implementation period, a Service Agreement between the Recipient andFFA, under terms and conditions acceptable to the Association pursuant to which the FFA, through the PSU, shall provide technical,fiduciary, monitoring and implementation support to the Recipient, including, inter alia carrying out verification of achievementof DLIs under Part 1(a) of the Project, and procurement services as detailed in Section I.A.1 of Schedule 2 to the FinancingAgreement.
The Recipient shall by not later than three (3) months after the Effective Date, prepare, in collaboration with FFA and the otherParticipating Countries, and thereafter adopt a Program Operations Manual, in form and substance acceptable to the Association.
The Recipient shall ensure that:(a) all monitoring, control and surveillance activities carried out by the Recipient shall beunder the control of a civilian fisheries officer or another civilian agency of the Recipient acceptable to the Association, andshall be carried out under terms of reference limited to fisheries surveillance;(b) each surveillance mission carried out by theRecipient shall be: (a) governed by detailed protocols prepared in accordance with terms of reference satisfactory to theAssociation, requiring that such missions be: (i) under the operational command or authority of acivilian fisheries officer; and(ii) conducted during a specific time period that is duly recorded and documented; and (b) be conducted by personnel who have beenproperly trained in the operation of any equipment used in the surveillance mission; (c) where a patrol or surveillance missionhas multiple tasks: (i) accounts are maintained in a manner acceptable to the Association which demonstrate that the Financing hasbeen used for the exclusive purpose of financing fisheries surveillance activities; and (ii) that the Association is granted accessto such accounts;(d) all goods, works, services and operating costs for fisheries monitoring, control and surveillance and relatedenforcement activities financed out of the proceeds of the Financing are used for the sole purpose of enforcing the fisheries lawsand regulations and shall not be used for any military purpose, or for enforcement of other non-fisheries laws; and(e) allfisheries monitoring, control and surveillance and related enforcement activities carried out under the Project, shall becompatible with international law, and specifically, with Article 73 of the United Nations Convention Law of the Sea Treaty, that:(a) any foreign vessels and crew arrested in the Recipient's exclusive economic zone shall be immediately released upon posting areasonable bond or other security; (b) penalties imposed by the Recipient for violations of fisheries laws and regulations may notinclude imprisonment; and (c) in cases of arrest or detention of foreign vessels, the Recipient shall promptly notify the flagstate of the action taken and of any penalties subsequently imposed.
The Recipient shall: (a) not later than three (3) years after the Effective Date (or such other date as the Association may agree),carry out a mid-term review of the Project.
No withdrawal shall be made for DLI Expenditures under Category (2) until and unless the Recipient shall have: (i) complied withthe additional instructions referred to in Section IV.A.1 of this Schedule, including submission to the Association of theapplicable statements of expenditure evidencing the incurrence of eligible DLI Expenditures during the respective DLI Period forwhich payment is requested; and (ii) furnished evidence satisfactory to the Association, in accordance with the verificationprotocol, set out in Annex 2 of Schedule 2 to the Financing Agreement, that the DLI Target for the respective DLI Period for whichpayment is requested has been achieved.

Project Steering CommitteeSection I.A.2 of Schedule 2To this end, the Recipient shall maintain until the Closing Date, theProject Steering Committee, chaired by its Secretary of Finance (or such other person which the Association has confirmed inwriting to the Recipient as acceptable to the Association), and comprised of the directors, or their representatives, of each ofthe State Finance Offices, and with an institutional framework, functions, and resources satisfactory to the Association as shallbe required for the Project.
Project implementation UnitSection I.A.5 of Schedule 2The Recipient shall maintain until the Closing Date the ProjectImplementation Unit within the National Department of Finance and Administration with mandate, composition and resourcessatisfactory to the Association, which shall be responsible for providing day to day management of Project implementation. Withoutlimitation to the generality of the foregoing, the Project Implementation Unit shall be supported by specialists within the CentralImplementation Unit, and shall include the following key staff, each with terms of reference, qualifications and experiencesatisfactory to the Association: (a) a Project manager; (b) a Project assistant; and (c) additional technical specialists as may beneeded.
Centralized Implementation UnitSection I.A.6 of Schedule 26. The Recipient shall maintain until the Closing Date the CentralImplementation Unit with mandate, composition and resources satisfactory to the Association, which shall be responsible forproviding fiduciary, monitoring and coordination of development partner funded projects. Without limitation to the generality ofthe foregoing, the Central Implementation Unit shall include staff performing the following key functions, each with terms ofreference, qualifications and experience satisfactory to the Association: (a) program management; (b) procurement; (c) safeguards;(d) communications; (e) monitoring and evaluation; and (f) financial management.
Dated CovenantsMid-term ReviewSection II.2 of Schedule 2The Recipient shall: (a) not later than January 31, 2021 (or suchother date as the Association may agree in writing), prepare and furnish to the Association a mid-term report, in such detail asthe Association shall reasonably request, documenting progress achieved in the carrying out of the Project during the periodpreceding the date of such report, taking into account the monitoring and evaluation activities performed pursuant to paragraph 1of this Section II, and setting out the measures recommended to ensure the continued efficient carrying out of the Project and theachievement of its objective during the period following such date; and (b) review with the Association such mid-term report, on orabout the date one month after its submission, carry out a mid-term review of the Project, and thereafter take all measuresrequired to ensure the continued efficient implementation of the Project and the achievement of its objectives, based on theconclusions and recommendations of the mid-term report and the Association's views on the matter.
Intergovernmental PFM Working GroupSection I.A.4 of Schedule 2To this end, the Recipient shall establish, by no later thanthree (3) months after the Effective Date, and maintain until the Closing Date, the Intergovernmental PFM Working Group, chaired bythe Assistant Secretary of Treasury (or such other person which the Association has confirmed in writing to the Recipient asacceptable to the Association), and comprised of members of the respective Technical Working Groups and other technical leads from,inter alia, the offices of the National Government and State Governments with finance, budget and information technology functions,and with an institutional framework, functions, and resources satisfactory to the Association as shall be required for the Project.

Section I.A.2 of Schedule II to the Financing Agreement:The Recipient shall, no later than 3 months after the Effective Dateestablish and thereafter maintain until the Closing Date, the Program Steering Committee, chaired by its Secretary of theDepartment of Transportation, Communications and Infrastructure, (or their representative), comprised of inter alia, the Secretary(or their representative) of the Department of Finance and Administration, and a representative of each of the State Governments,and with an institutional framework, functions, and resources satisfactory to the Association as shall be required for the Project.
Section I.A.3 of Schedule II to the Financing Agreement:The Recipient shall maintain, until the Closing Date, the CentralImplementation Unit with mandate, composition and resources satisfactory to the Association, which shall be responsible forproviding safeguards, procurement, and financial management coordination and support for the Project.
Section I.A.4 of Schedule II to the Financing Agreement:The Recipient shall, no later than three (3) months after the EffectiveDate, establish and thereafter maintain until the Closing Date, a Project Implementation Unit within the Department ofTransportation, Communications and Infrastructure, with mandate, composition and resources satisfactory to the Association, whichshall be responsible for day to day implementation of the Project. Without limitation to the generality of the foregoing, theProject Implementation Unit shall be headed by a Project Manager, with terms of reference, qualifications and experiencesatisfactory to the Association, and shall include the following minimum key staff, or be supported by specialists from the CentralImplementation Unit, each with terms of reference, qualifications and experience satisfactory to the Association, in the followingroles: (i) a Financial Management Specialist; (ii) a Procurement Specialist; (iii) a Safeguards Specialist; (iv) a Monitoring andEvaluation Specialist; and (v) a Communications Specialist.
Section I.A.5 of Schedule II to the Financing Agreement:The Recipient shall maintain, until the Closing Date, a focal pointwithin the Department of Justice, with terms of reference, qualifications and experience satisfactory to the Association, who shallbe responsible for, inter alia, day-to-day implementation, reporting and monitoring and evaluation of Part 2.4(c) of the Project.
Section I.B.1 of Schedule II to the Financing Agreement:To facilitate the carrying out of the Project, the Recipient shall enterinto and maintain, until the Closing Date, Project Implementation Agreements, in form and substance satisfactory to theAssociation,with each of the State Governments and State Port Authorities, detailing, inter alia, the roles and responsibilities ofeach party for Project implementation and requiring, inter alia, each State Port Authority to maintain, until the Closing Date, afocal point, with terms of reference, qualifications and experience satisfactory to the Association.
Section I.C of Schedule II to the Financing Agreement:The Recipient shall prepare and, and, through the Steering Committee,adopt, by no later than three (3) months after the Effective Date, a Project Operations Manual, in form and substance acceptable tothe Association, setting forth the arrangements and procedures for implementation of the Project.
Section I.E of Schedule II to the Financing Agreement:The Recipient shall prepare and furnish to the Association not laterthan:(a) four (4) months after the Effective Date (or such later date as the Association may agree); and (b) August 31 of eachyear for every subsequent year during the implementation of the Project (or such later date as the Association may agree);for theAssociation's review and no-objection, an Annual Work Plan and Budget, and the Recipient shall ensure that the Project isimplemented in accordance with the Annual Work Plans and Budgets.
Section I.F of Schedule II to the Financing Agreement:The Recipient shall ensure that: (a) the Project is carried out with dueregard to appropriate health, safety, social, and environmental practices and standards, and in accordance with the SafeguardsInstruments; and (b) any contracts for civil works under the Project include codes of conduct in form and substance acceptable tothe Association detailing measures on environmental, health and safety and preventing gender-based violence.
Section II.2 of Schedule II to the Financing Agreement:The Recipient shall carry out, jointly with the Association, not laterthan three (3) years after the Effective Date, or such other period as may be agreed with the Association, a mid-term review of theProject (“Mid-Term Review”) to assess the status of Project implementation.

o Section I.A.1 of Schedule 2 to the Financing Agreement: The Recipient shall maintain, throughout the Project implementationperiod, the Energy Division within the Department of Resources and Development with resources, staffing and mandate satisfactory tothe Association and with responsibility for implementation of the Project.
o Section I.A.2 of Schedule 2 to the Financing Agreement: The Recipient shall establish, by no later than three (3) months afterthe Effective Date, and thereafter maintain until the Closing Date, a Steering Committee.
o Section I.A.3 of Schedule 2 to the Financing Agreement: The Recipient shall maintain, until the Closing Date, the ProjectImplementation Unit within the Energy Division.
o Section I.A.4 of Schedule 2 to the Financing Agreement: The Recipient shall maintain until the Closing Date the CentralImplementation Unit.
o Section I.A.5 of Schedule 2 to the Financing Agreement: The Recipient shall, in accordance with the Recipient's laws, take allreasonable steps to ensure the State Power Utilities to maintain, throughout the Project implementation period, an engineering unitwithin each State Power Utility.
o Section I.C.1 and 2.The Recipient shall prepare and, through the Project Steering Committee, adopt a Project ImplementationManual, and shall carry out, and in accordance with the Recipient's laws take all reasonable steps to ensure the State Governmentsand State Power Utilities to carry out, the Project in accordance with the Project Implementation Manual.
o Section I.DThe Recipient shall prepare and furnish to the Association Annual Work Plans and Budgets not later than four (4)months after the Effective Date (or such later date as the Association may agree); and then August 31 of each year for everysubsequent year during the implementation of the Project (or such later date as the Association may agree).
o Section I.EThe Recipient shall, by no later than eighteen (18) months after the Effective Date, establish and thereaftermaintain until the Closing Date, a fund for the operation and maintenance of the Pohnpei Utilities Corporation's energy generationinvestments supplied and installed under Part 1 of the Project (“Operations and Maintenance Fund”).
o Section I.F.The Recipient shall ensure that the Project is carried out with due regard to appropriate health, safety, social,and environmental standards and practices, and in accordance with the Safeguards Instruments.
o Section II.BThe Recipient shall carry out, jointly with the Association, not later than July 1, 2021, or such other date as maybe agreed with the Association, a mid-term review of the Project (the “Mid-Term Review”).
