The Recipient shall operate and maintain, throughout Project implementation, a Project Implementation Unit (the PIU) within IHSI,with qualified and experienced staff in sufficient numbers, as well as with adequate funds, facilities, services and otherresources, and responsible for the procurement, financial management, and monitoring and evaluation aspects of the Project, allacceptable to the Association (FA, Schedule 2, section I A).
The Recipient, through IHSI, shall carry out, and/or cause to be carried out, the Project in accordance with the OperationalManual, which consists of different schedules setting forth, respectively, rules, methods, guidelines, specific development plans,standard documents and procedures for the carrying out of the Project (FA, Schedule 2, section I B).
For purposes of facilitating the implementation of Part 2.1 of the Project, the Recipient shall, no later than eighteen months (18)after the Effective Date, develop and adopt a sustainability strategy for the IFMIS, acceptable to the Association.
The Recipient shall, no later than four (4) months after the Effective Date, hire an auditor under terms and conditions acceptableto the Association.
The Recipient shall establish, and thereafter operate and maintain, throughout the implementation of Part 2 and Part 3(b) ofProject, the IFMIS Team within the MEF by appointing qualified and experience staff in sufficient numbers as well as by assigningadequate funds, facilities, services and other resources acceptable to the Association.
The Recipient shall operate and maintain, throughout the implementation of Part 2 and Part 3(b) of the Project, the UCP, and theCRFP, with qualified and experienced staff in sufficient numbers, as well as with adequate funds, facilities, services and otherresources, all acceptable to the Association.
The Recipient, shall adopt the Operational Manual and carry out, Part 2 and Part 3(b) of the Project in accordance with said manual.

The Project Coordination Unit (UCP) under the Ministry of Interior and Local Authorities (MICT) : Ensure that the UCP-MICT shall beresponsible for the day-to-day administration, overall planning, coordination, fiduciary (procurement, disbursement, safeguards andfinancial management), monitoring evaluation reporting and communication of the activities under Part 2 and 4.2 of the Project; asfurther detailed in the Operational Manual. Schedule 2, Section I, A.3 (b) for the IDA and SCF-PPCR Grants. (Continuous). (for bothIDA and SCF-PPCR Grants).
The Central Implementing Unit (UCE) under the Ministry of Public Works, Transport and Communications (MTPTC): Ensure that theUCE-MTPTC shall be responsible for the day-to-day administration, overall planning, coordination, fiduciary (procurement,disbursement, safeguards and financial management), monitoring evaluation reporting and communication of the activities under Parts1 and 4.1 of the Project; as further detailed in the Operational Manual. Schedule 2, Section I, A.4 (b) for the IDA and SCF-PPCRGrants. (Continuous). (for both IDA and SCF-PPCR Grants).
Mobile Technical Support Team (MTST): No later than three months after the Effective Date, hire under terms of reference acceptableto the Association, the MTST, and thereafter maintain, during the implementation of the Project, the MTST with functions, staffingand resources satisfactory to the Association, as further detailed in the Operational Manual. Schedule 2, Section I, A.5 (a) fortheIDA and SCF-PPCR Grants. (3 months after effectiveness). (for both IDA and SCF-PPCR Grants).
Technical Project Coordinators: No later than two months after the Effective Date, appoint under terms of reference and in form andsubstance satisfactory to the Association, the Technical Coordinators, and thereafter maintain at all times during theimplementation of the Project, the Technical Project Coordinators within UCP-MICT and UCE-MTPTC, respectively, with functions,qualifications, and resources satisfactory to the Association, as further detailed in the Operational Manual. Schedule 2, SectionI, A.6 (a) for the IDA and SCF-PPCR Grants. (2 months after effectiveness). (for both IDA and SCF-PPCR Grants).
The Project's Delegated Implementation Agency (MDOD): No later than three months after the Effective Date, hire under terms ofreference and in form and substance satisfactory to the Association, the MDOD, and thereafter operate and maintain, at least duringthe first three years of the implementation of the Project, the MDOD with functions, staffing and resources satisfactory to theAssociation, as further detailed in the Operational Manual. Schedule 2, Section I, A.7 (a) for the IDA and SCF-PPCR Grants. (3months after effectiveness). (for both IDA and SCF-PPCR Grants).
Contingency Emergency Response: In order to ensure the proper implementation of Part 3 of the Project (“CER Part”), the Recipientshall take the following measures:(a) prepare and furnish to the Association for its review and approval, an operations manual(“CER Operations Manual”) which shall set forth detailed implementation arrangements for the CER Part, including: (i) designationof terms of reference for, and resources to be allocated to, the entity to be responsible for coordinating and implementing the CERPart (“Coordinating Authority”); (ii) specific activities which may be included in the CER Part, Eligible Expenditures requiredtherefore (“Emergency Expenditures”), and any procedures for such inclusion; (iii) financial management arrangements for the CERPart; (iv) procurement methods and procedures for Emergency Expenditures to be financed under the CER Part; (v) documentationrequired for withdrawals of Emergency Expenditures; (vi) environmental and social safeguard management frameworks for the CER Part,consistent with the Association's policies on the matter; and (vii) any other arrangements necessary to ensure proper coordinationand implementation of the CER Part;(b) afford the Association a reasonable opportunity to review the proposed CER OperationsManual;(c) promptly adopt the CER Operations Manual for the CER Part as shall have been approved by the Association;(d) ensurethat the CER Part is carried out in accordance with the CER Operations Manual; provided, however, that in the event of anyinconsistency between the provisions of the CER Operations Manual and this Agreement, the provisions of this Agreement shallprevail; and(e) not amend, suspend, abrogate, repeal or waive any provision of the CER Operations Manual without prior approvalby the Association.Schedule 2, Section I, D.1 for the IDA and SCF-PPCR Grants. (In case of a CER). (for both IDA and SCF-PPCRGrants to harmonize implementation arrangements but the SCF-PPCR Grant will not finance contingency emergency response).
Anti-corruption: Ensure that the Project is carried out in accordance with the provisions of the Anti-Corruption Guidelines.Schedule 2, Section I, E for the IDA and SCF-PPCR Grants. (Continuous) (for both IDA and SCF-PPCR Grants).
ESIA and RAP: Prepare, consult, adopt and publish no later than four months after the Effective Date, the Environmental and SocialImpact Assessment (ESIA) and the Resettlement Action Plan for Part 1 of the Project, both in form and substance satisfactory to theAssociation. Schedule 2, Section I, F.1 for the IDA and SCF-PPCR Grants. (4 months after effectiveness). (for both IDA and SCF-PPCRGrants).
Safeguards: Ensure that the Project is carried out in accordance with the ESMF, the ESIA (once published), the RPF, the RAPs (oncepublished) and any site-specific EMP to be developed and approved in accordance with the ESMF or the ESIA, all in a manneracceptable to the Association. The Recipient shall not amend, suspend or abrogate any of the provisions of the ESMF, the ESIA, theRPF or any EMP or RAP without the prior agreement of the Association. Schedule 2, Section I, F.2 for the IDA and SCF-PPCR Grants.(Continuous). (for both IDA and SCF-PPCR Grants).
Implementation arrangements: Maintain at all times during Project implementation, MICT, MTPTC and the Targeted Municipalities, withresponsibilities, resources and mandate satisfactory to the Association, as further detailed in the Operational Manual. The Recipient declares its commitment to the objectives of the Project as set forth in Schedule 2 to this Agreement, and, to thisend, shall carry out the Project, through UCP/PL 480
Procurement of the goods, works and services required for the Project and to be financed out of the proceeds of the Grant shall begoverned by the Procurement Plan
Update the Procurement Plan and furnish such update to the Association not later than 12 months after the date of the precedingProcurement Plan, for the Association#s approval.
Prepare and furnish to the Association not later than six (6) months after the Closing Date a plan designed to ensure thecontinuedachievement of Project#s objectives.
The Recipient shall adopt the Project operational manual, setting forth rules, methods, guidelines, standard documents andprocedures for the carrying out of the Project.
Technical audits are carried out semi-annually in UCP/PL 480 and in each MDOD and submitted to the Association within 4 monthsthereafter.
Appoint independent auditors within three months of Effectiveness.
The UGP/PL480 shall enter into an agreement (the Service Agreement) with each eligible MDOD.
UGP/PL480 shall maintain an FM system, and shall cause each MDOD to establish and maintain, for purposes of the Project, an FMsystem.
UGP/PL480 shall prepare semi-annual financial statements and shall cause each MDOD to prepare semi-annual financial reports
The Borrower shall have the financial statements (UGP/PL480) and the financial reports (MDODs) semi-annually audited for eachFiscal Year.

SCHEDULE 2, Section I., A. 1. of the Grand Agreements: Project Implementation UnitsThe Recipient shall operate and maintain,throughout Project implementation, a Project Implementation Unit (PIU) under the administrative authority of both MARNDR and MdE,to be established not later than three month after the Effective Date and to be located at the central and local level through twosub-units, i.e. : (a) the Project Implementation Unit at the Central Level (the PIU-C) located in Port-au-Prince, responsible forthe overall implementation, management, monitoring and evaluation of the Project at the national level; and (b) the ProjectImplementation Unit at the Local Level (the PIU-L) located in the Nippes Department ; responsible for the implementation,management, monitoring and evaluation of Part 2 of the Project at the local level, both with qualified and experienced staff insufficient numbers, as well as with adequate funds, facilities, services and other resources acceptable to the World Bank, asfurther detailed in the Project Implementation Manual.
SCHEDULE 2, Section I., A. 2. of the Grand Agreements: Steering and Advisory CommitteesThe Recipient shall: (a) establish notlater than six months after the Effective Date and thereafter operate and maintain in form and substance satisfactory to the WorldBank, as further detailed in the Project Implementation Manual and throughout Project implementation, a Project Steering Committeeto be co-chaired by MdE and MARNDR, and with representatives from all line ministries and other key stakeholders in charge of theoverall strategic guidance and oversight of the Project; and (b) establish not later than six months after the Effective Date andthereafter operate and maintain in form and substance satisfactory to the World Bank, as further detailed in the ProjectImplementation Manual and throughout Project implementation, an Advisory Committee to be chaired by the PIU-C coordinator, and withrepresentatives from key stakeholders in charge of operational guidance and regular follow-up on the implementation of the Projectactivities.
SCHEDULE 2, Section I., B. of the Grand Agreements: Project Implementation ManualThe Recipient shall carry out the Project, and/orcause the Project to be carried out, in accordance with the Project Implementation Manual, which consists of different schedulessetting forth, respectively, rules, methods, guidelines, specific development plans, standard documents and procedures for thecarrying out of the Project. The Project Implementation Manual may only be amended from time to time in consultation with, andprior approval of, the World Bank.

Schedule 2, Section I., A. 1 of the Grant Agreement: Implementation Arrangements1. The Recipient shall operate and maintain,throughout Project implementation, the UCE, with qualified and experienced staff in sufficient numbers, as well as with adequatefunds, facilities, services, and other resources, all acceptable to the Association.
Schedule 2, Section I., A. 2 of the Grant Agreement: Independent Auditor.2. For purposes of implementing Section 5.09 of theGeneral Conditions, the Recipient shall, no later than four (4) months after the Effective Date, hire an independent auditor underterms and conditions acceptable to the Association.
Schedule 2, Section I., D, 1 and 2 of the Grant Agreement: Safeguards.1. The Recipient, through the MTPTC, shall ensure that theProject is carried out in accordance with the Safeguards Instruments, including the guidelines, rules and procedures defined insaidSafeguards Instruments. 2. To this end, if an EMP or a RAP is required on the basis of the ESMF or the RPF, the Recipientshall specifically take the following actions, in a manner acceptable to the Association:(a) such EMP, or RAP shall be preparedin accordance with the requirements of the ESMF or the RPF, consulted and disclosed locally and furnished to the Association forapproval; and (b) the pertinent Project activity shall be carried out in accordance with such EMP, or RAP as approved by theAssociation.
